We provide computer systems design, software development, cloud solutions, IT consulting, cybersecurity, system integration, and related services.
Lawful use only. Prohibited: unauthorized access, malware, illegal activity, bots, impersonation.
All materials owned by EVEREST ASSOCIATES LLC or licensors. Clients receive a non-exclusive license to deliverables.
Both parties maintain confidentiality of proprietary information for 5 years post-termination.
Provide accurate info, timely feedback, necessary access, and make payments on time.
Invoices due in 30 days. Late payments incur 1.5% monthly interest.
Liability capped at fees paid in preceding 12 months. Not liable for indirect damages.
Client indemnifies us against claims from use in violation of Terms, violation of law, or IP infringement.
Services performed professionally. 90-day warranty on deliverables. Otherwise "as is."
Either party may terminate with 30 days notice. Immediate termination for material breach.
Neither liable for delays beyond reasonable control.
Governed by Texas law. Disputes resolved via negotiation then binding arbitration in Longview, TX.
These Terms supersede all prior agreements.
Invalid provisions modified minimally; remainder enforced.
Waiver of any term not a waiver of other terms.
